Welcome to St. Petersburg Florida nonprofit lawyer James W. Martin, P.A., who practices Florida nonprofit corporation law and advises his clients on forming, maintaining, operating, and dissolving nonprofit corporations in Florida. He has written nationally-published legal forms books on nonprofit corporations, and he maintains the highest attorney ratings on Martindale, Justia, and other lawyer rating services.

Florida Nonprofit Corporations

St. Petersburg attorney James W. Martin has been forming and representing Florida nonprofit corporations for many decades. His clients have included such diverse nonprofits as an art museum (Dali), a museum designer, community organizations, clubs, teams, churches, and religious denominations.

Nonprofit corporations are formed by filing articles with the Florida Division of Corporations. The state allows this to be done online, but the forms provided by the state do not include all of the forms that a nonprofit corporation should have. For example, the state does not provide the bylaws for a corporation. So, forming a nonprofit corporation in Florida is best left to attorneys rather than doing it yourself.

James W. Martin has written two volumes of legal forms on Florida nonprofit corporations. His first volume was published for over 20 years by West Publishing as part of their West’s Legal Forms and included forms for nonprofit corporations in all fifty states. His current volume of Florida nonprofit corporation legal forms was written by James W. Martin in 2022 and is available free of charge on this website here:

Contracts and Other Documents

Florida nonprofit corporations enter Into contracts and documents of all types, including articles of incorporation, bylaws, minutes, lease agreements, deeds, real estate purchase contracts, construction contracts, employment agreements, donor pledge agreements, grant agreements, etc. All of them are governed by Florida nonprofit corporation or contract law. Attorneys provide legal advice regarding nonprofit corporations, as well as drafting and reviewing contracts. James W. Martin has taught contract drafting for over fifteen years at Stetson University College of Law as an Adjunct Professor of Law, and he has written several volumes of contract forms books for lawyers, in addition to his books regarding nonprofit corporations.

James W. Martin is also Board Certified in Real Estate Law by The Florida Bar, which benefits nonprofit corporation clients who own or lease buildings, land, and real estate.
